Understanding Trademark Assignment

A trademark assignment transfers proprietary rights from the assignor to the assignee — a routine step in acquisitions, brand sales, restructurings and licensing arrangements. It can be made with goodwill (the business behind the mark moves too) or without goodwill (the mark moves but not the business), each with different drafting and, for assignments without goodwill, advertisement requirements. Unrecorded assignments are not admissible as evidence and do not bind third parties, so recordal protects the assignee’s rights and chain of title.
